Anti-AI Data Mining
This Agreement (the "Agreement") is entered into by and between the owner of the website, hereinafter referred to as the "Website Owner", and the individual or entity accessing or using the website, hereinafter referred to as the "User". By continuing to use this website, the User expressly agrees to be bound by all terms and conditions set forth herein with regard to the prevention of AI Data Mining activities as defined herein. If the User does not agree to these terms, the User must immediately cease all use of the website.
DEFINITION OF AI DATA MINING
For the purposes of this Agreement, "AI Data Mining" shall mean any activities undertaken by or on behalf of the User or any third party, which involve the automated scraping, extraction, collection, or analysis of data from the Website without the explicit written permission of the Website Owner. This includes, but is not limited to, the use of artificial intelligence, machine learning algorithms, or any other automated means to access, analyse, collect, or utilize the data contained within the Website for any purpose.
PROHIBITION OF AI DATA MINING
This agreement expressly forbids AI Data Mining, defined as any activities undertaken by or on behalf of the User or any third party, which involve the automated scraping, extraction, collection, or analysis of data from the Website without the explicit written permission of the Website Owner. This includes, but is not limited to, the use of artificial intelligence, machine learning algorithms, or any other automated means to access, analyse, collect, or utilise the data contained within the Website for any purpose.

Violation of this prohibition will result in immediate termination of the User's access to the Website and may subject the User and/or any involved third party to legal action and liability for damages incurred by the Website Owner as a result of such unauthorised activities.
USER OBLIGATIONS
The User hereby agrees and undertakes to comply with the following obligations with respect to anti-AI data mining:
  • The User shall not engage in AI Data Mining, as defined herein, on or through the Website.
  • The User shall not authorise, permit, or enable any third parties to engage in AI Data Mining on or through the Website.
  • The User agrees to immediately cease any AI Data Mining activities upon discovery or notification by the Website Owner.
  • The User shall not use, deploy, or implement any software, algorithms, or any artificial intelligence or machine learning-based tools for the purpose of scraping, extracting, collecting, or analysing data from the Website without the explicit written permission of the Website Owner.
  • In the event the User breaches any of the obligations set forth in this clause, the Website Owner reserves the right to take appropriate legal action, including but not limited to the termination of the User's access to the Website, legal proceedings for injunction, damages, and any other remedies available under the laws of England and Wales.
This clause shall be governed by and construed in accordance with the laws of England and Wales.
ENFORCEMENT AND REMEDIES
In the event of a breach of the prohibition against AI Data Mining as defined herein, the Website Owner shall have the right to employ all necessary and reasonable monitoring methods to detect and prevent such unauthorised activities. This may include, but is not limited to, the use of software tools designed to identify and block AI Data Mining techniques, regular audits of access logs, and the implementation of technological measures to restrict or control access to the Website's data.

Upon detection of any AI Data Mining activities, the Website Owner reserves the right to take any or all of the following actions, at its sole discretion:
  • Immediate termination of the User's access to the Website, without prior notice.
  • Initiation of legal proceedings against the User or any involved third parties for breach of contract, infringement of intellectual property rights, and any other applicable legal actions under the laws of England and Wales.
  • Claim for damages and compensation for any losses incurred by the Website Owner as a result of the breach, including but not limited to, loss of business, reputation, and the costs associated with the enforcement of this clause.
  • Any other remedies available under the laws of England and Wales or any other applicable jurisdiction.
The rights and remedies herein provided are cumulative and do not exclude any rights or remedies provided by law or in equity.
AMENDMENT AND MODIFICATION
This Agreement may be amended or modified by the Website Owner at any time and at the Website Owner's sole discretion. Any amendments or modifications to the terms regarding AI Data Mining will be effective immediately upon posting to the Website or by direct communication to the User, whichever method the Website Owner deems appropriate. It is the User's responsibility to review the Website regularly for any such changes. Continued use of the Website by the User after any such changes have been made will constitute acceptance of those changes.
JURISDICTION AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement, including any questions regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the London Court of International Arbitration (LCIA), which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England. The language to be used in the arbitral proceedings shall be English.

In the event that arbitration is not pursued, the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising out of or in connection with this Agreement.
SEVERABILITY
If any provision of the anti-AI data mining terms, or the application thereof to any person or circumstance, is found by a court of competent jurisdiction within England and Wales to be invalid, illegal, or unenforceable to any extent, such provision shall be deemed severable and the remainder of the terms, including the application of such terms to other persons or circumstances, shall not be affected thereby and shall continue to be valid and enforceable to the fullest extent permitted by law. The parties hereby agree to substitute for any invalid, illegal, or unenforceable provision a valid provision which most closely approximates the intent and economic effect of the invalid, illegal, or unenforceable provision.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Website Owner and the User regarding the prevention of AI Data Mining on the Website, and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties. No amendment, alteration, or waiver of any of the provisions of this Agreement shall be effective unless in writing and signed by both parties. This Agreement sets forth the entire understanding of the parties relating to the subject matter herein and cannot be changed or terminated orally.
